SECTION 1.2
Description of the concentration
The Proposed Concentration involves the acquisition of control by the Seventh Cinven Fund (Cinven VII) of certain subsidiaries of the MBCC Group (the Divestment Entities).
Cinven is a private equity firm engaged in the provision of investment management and investment advisory services to a number of investment funds. The companies in the Cinven funds’ portfolio of investments are active in a wide range of subsectors, mainly business services, consumer, financial services, healthcare, industrial and technology, media and telecommunications. Cinven VII is incorporated in Guernsey.
The Divestment Entities own and operate the Admixtures Systems division of MBCC Group in Australia, Canada, the countries of the European Economic Area, New Zealand, Switzerland, the UK and the US as well as the Construction Systems division of MBCC Group in Australia and New Zealand.
