SECTION 1.2

Description of the concentration

On 16 July 2010 the Commission received a notification of a proposed concentration pursuant to Article 4 of Council Regulation (EC) No. 139/2004 by which NPM Capital N.V. ("NPM") will acquire 40% of the shares in Houdstermaatschappij Kramp Groep B.V. ("Houdstermaatschappij Kramp") and certain veto rights regarding important decisions on the business policy of Houdstermaatschappij Kramp.

NPM will therefore acquire joint control over Houdstermaatschappij Kramp. The other party holding control of Houdstermaatschappij Kramp will be Kramp Groep B.V. that currently holds sole control of Houdstermaatschappij Kramp.

The business activities of the undertakings concerned are:

-- NPM: private equity fund with participations in, amongst others, companies operating in the field of food, healthcare products and technical equipment;

-- Houdstermaatschappij Kramp: a technical wholesaler active in trading in parts for predominantly tractors, agricultural machinery and grass machinery, and in all other technical parts and tools as well as the carrying out of the related servicing production and assembly.
