SECTION 1.2

Description of the concentration

Nutreco International B.V. intends to acquire sole control of parts of BASF’s activities relating to pre-mixes in the wider sense and its related third party trading business by way of purchase of assets and shares. Nutreco intends to acquire those assets of BASF Vitamins Company Limited (China), BASF Italia Spa, BASF Polska Sp. z o.o., P.T. BASF Indonesia, BASF Corporation (USA), BASF Mexicana S.A. de C.V., BASF de Guatemala S.A. which cover the production and distribution of pre-mixes in the wider sense and the business of purchasing and distributing additives manufactured by third parties. Nutreco intends to acquire all shares in Frank Wright Limited, which is active in the same field as the assets to be acquired.

Nutreco is active in compound feed, pre-mixes in the wider sense and specialty feed, fish feed and meat processing.
