SECTION 1.2

Description of the concentration

The Commission has received notification of a proposed concentration pursuant to Article 4 of the ECMR under which DE, a direct subsidiary of DELTA, and EET, an indirect subsidiary of Eneco, intend to change the operational and organisational structure of PVNED, in such a way that PVNED will be able to perform on a lasting basis all the functions of an autonomous economic entity within the meaning of Article 3(4) of the ECMR.

The business activities of the undertakings concerned are as follows:

i) DELTA offers a variety of multi-utility services, inter alia, in the electricity and natural gas sectors, primarily in the Netherlands and to a lesser extent in the electricity sector in Belgium;

ii) Eneco offers a variety of multi-utility services, inter alia, in the electricity and natural gas sectors, primarily in the Netherlands and to a lesser extent in the electricity sector in Belgium, the United Kingdom, France and Germany;

iii) PVNED provides Program responsibility services in the electricity sector in the Netherlands and Belgium.

In view of the limited scope of the joint venture and the position of the Parties on markets that are related to the joint venture, the Parties consider that the proposed change of the operational and organisational structure will not raise any competition concerns.
