SECTION 1.2

Description of the concentration

1.On 26 January 2022, the Commission received notification of a proposed concentration pursuant to Article 4 of Council Regulation (EC) No. 139/2004 by which The Goldman Sachs Group, Inc. (“Goldman Sachs”), through its wholly-owned subsidiary GSAM Holdings LLC, intends to acquire sole control of NN Investment Partners Holdings N.V. (“NNIP”) and its subsidiaries within the meaning of Article 3(1)(b) of Council Regulation (EC) No 139/2004.

2.Following the implementation of the transaction, Goldman Sachs will solely control NNIP. The transaction will be implemented by a direct acquisition of the entire issued share capital of NNIP.

3.Goldman Sachs is a global investment banking, securities and investment management firm that provides a range of financial services worldwide to a substantial and diversified client base that includes corporations, financial institutions, governments and high-net-worth individuals.

4.NNIP is a Netherlands-based provider of asset management services including investment capabilities across multi-asset, emerging market debt, sustainable and impact equity, alternative credit, and investment grade credit and green bonds. NNIP also provides fiduciary asset management services to Dutch pension funds and insurance companies.
