The Commission received a notification of a Proposed Concentration pursuant to Article 4 of the Council Regulation (EC) No 139/ 2004 by which Caisse de dépôt et placement du Québec (“CDPQ”), together with Ontario Teachers’ Pension Plan Board (“OTPP”), via their platform Constellation Insurance LP, intend to acquire joint control over Ohio National Mutual Insurance, Inc. (“Ohio”) within the meaning of Article 3(1)(b) of the EUMR.
The business activities of the parties are the following:
• CDPQ is a globally active Canadian long-term institutional investor managing funds primarily for public and para-public pension and insurance plans headquartered in Québec City with its principal place of business in Montréal, Québec, Canada. It invests these funds in major financial markets, private equity, fixed income, infrastructure and real estate.
• OTPP is a corporation without share capital incorporated under the Teachers’ Pension Act (Ontario), having its principal office and business address in Toronto, Ontario, Canada. OTPP is concerned with the administration of pension benefits and the investment of pension plan assets on behalf of approximately 331,000 active and retired teachers in the Canadian province of Ontario.
• Ohio is a U.S. provider of individual life insurance, disability income insurance and annuities, as well as broker-dealer and investment advisory services and, outside of the U.S., is also active in Brazil, Chile and Peru.
