SECTION 1.2

Description of the concentration

The Transaction will entail the acquisition by Mitsubishi Corporation (MC), the parent company of the MC Group (undertakings pertaining to MC Group will be explained in section 4), from Acciona Energía Internacional, S.A.U. (Acciona), a Spanish company belonging to the Acciona Group, of a stake of 34.40% in Amper Central Solar, S.A. (Amper), a Portuguese company active in the Portuguese market of generation and wholesale of electricity.

The Transaction is subject to the fulfilment of certain conditions precedent, one of them is the obtaining by the parties from the European Commission of either the prior clearance of the Transaction or the confirmation that this clearance is not necessary.
