SECTION 1.2

Description of the concentration

On August 7th, 2020, the Commission received a notification of a proposed concentration pursuant to which the undertaking Power Group International (Overseas Holdings) B.V. (the Netherlands), a subsidiary of Cummins Inc. (USA), intends to acquire within the meaning of Article 3 (1)(b) of the EU Merger Regulation 50% of the shares in and thereby joint control over the undertaking NPROXX B.V. (the Netherlands), a manufacturer of hydrogen pressure vessels, currently wholly owned by the undertaking ETC PV Holding B.V. (the Netherlands) and ultimately controlled by ETC Ltd. (United Kingdom). The proposed concentration qualifies for simplified treatment in accordance with the Commission Notice Notice on a simplified procedure for treatment of certain concentrations under Council Regulation (EC) No 139/2004.
