SECTION 1.2

Description of the concentration

A consortium consisting of ALFA Acciai s.p.a., Cronimet Holding GmbH and

Remondis AG & Co. KG intends to acquire the TSR Group from SHV Nederland

B.V. and SHV Recycling Holding GmbH.

ALFA Acciai is a family-run Italian company producing rebar and reinforcing

steel.

Cronimet is the holding company of a world-wide operating group of companies

trading raw material for the production of steels.

Remondis is a German based world-wide active private water- and recycling

management company.

The target of the proposed acquisition, the TSR Group, is active in trading and

processing secondary raw material for the steel industries. Its business

activities focus on Germany, the Netherlands and the Czech Republic.

The transaction concerns the market for the trade in primary and secondary raw

material for the steel industry.
