SECTION 1.2

Description of the concentration

On 18 October 2021, the Commission received a notification of a proposed concentration pursuant to Article 4 of Council Regulation (EC) No 139/2004, by which Mondelēz International, Inc. ("Mondelēz") will acquire control over Chipita Industrial and Commercial Company S.A. and its direct and indirect subsidiaries and affiliates, as restructured prior to completion ("Chipita").

(i) Mondelēz is a global snack company with a product offering spanning biscuits, chocolate, chewing gum and candy, cheese and powdered beverages. Mondelēz manufactures and markets its products internationally.

(ii) Chipita is a multinational manufacturer of branded packaged croissants and other, mostly baked bread based, snack products. Chipita is headquartered in Greece with production facilities in multiple countries and products delivered to consumers internationally, including across Europe.
