SECTION 1.2

Description of the concentration

On 6 June 2017, the European Commission received notification of a proposed concentration pursuant to Article 4 of Council Regulation (EC) No 139/2005 (the “EU Merger Regulation”), relating to the acquisition by Électricité de France SA (“EDF”) (via its wholly-owned subsidiary EDF Energy Services Limited) of sole control of ESSCI Limited (“ESSCI”) within the meaning of Article 3(1)(b) of the EU Merger Regulation.

The business activities of the undertakings concerned are:

(a) EDF: EDF is the parent company of the EDF group, which is active in energy markets in France and other parts of Europe and worldwide. In the UK, EDF is mainly active in electricity generation, as well as wholesale supply and retail supply of electricity, and other energy services.

(b) ESSCI: the ultimate parent of the Imtech group of companies, which includes operations in mechanical and electrical engineering, technical facilities management and industrial systems integration for the electrical industry.
