SECTION 4

Description of the concentration

The proposed transaction (the "Proposed Transaction") consists of the acquisition by AGROFERT of (negative) sole control over East Grain and its subsidiaries, within the meaning of Article 3(1)(b) of the Merger Regulation.

The Proposed Transaction is achieved through an acquisition of shares and a share capital increase. AGROFERT, a.s. and the shareholders of East Grain have concluded on 20 October 2023 the SPA and the SSHA, through which AGROFERT becomes the majority shareholder of East Grain, with a total of 65% of the share capital and voting rights in the company.

AGROFERT is a joint stock company established under the laws of the Czech Republic and, together with its controlled subsidiaries, represents the AGROFERT Group, one of the main group of companies active in the Czech and Slovak agriculture and food industry, as well as one of the main domestic groups of chemical companies and a major European producer of nitrogen fertilizers. The main activities of the AGROFERT Group concern the wider agricultural sector, the group being active in activities related to agriculture, food production, sale and distribution of agricultural machinery, as well as manufacture of fertilizers and products of organic and inorganic chemistry.

The East Grain Group offers a wide portfolio of agricultural products and related services mainly in Romania, Hungary and other countries in the region. The group is active in the trade of cereals, oilseeds and feed raw materials, as well as in the agricultural inputs and fertilizers trading segments. The East Grain Group offers storage and handling services for agricultural products and caries out domestic and international forwarding activities.
