SECTION 1.2

Description of the concentration

The proposed concentration involves the establishment of a joint venture by combining CRH Group’s and Luja Group’s ready-mixed concrete business in Russia. CRH is a building material manufacturer and distributor that operates in 35 countries worldwide and employs approximately 76,000 people. Luja is a construction company with a focus in Finland and with subsidiaries in Sweden and Russia. Luja employs approximately 1,500 people of which the majority is located in Finland. The joint venture will be jointly controlled by CRH and Luja. The business of the joint venture will be the production and sale of ready-mixed concrete in Russia.
