On 17 November 2016, the Commission received a notification of a proposed concentration pursuant to Article 4 of Council Regulation (EC) No 139/2004 (the Merger Regulation), by which Hewlett Packard Enterprise Services (HPES) will acquire sole control of Computer Sciences Corporation (CSC) within the meaning of Article 3(1)(b) of the Merger Regulation. HPES is the enterprise services business of Hewlett Packard Enterprise Company.
CSC announced on 24 May 2016 that its Board of Directors has unanimously approved a plan to acquire HPES, and the Commission adopted a clearance decision in relation to the acquisition of HPES by CSC on 19 September 2016 (Case COMP/M.8155 – Computer Sciences Corporation / Hewlett Packard Enterprise Services). The Proposed Transaction is substantively the same as this transaction and is simply being re-notified to the Commission in light of a change to the transaction structure.
HPES provides technology consulting, outsourcing and support services across infrastructure, applications and business process domains in traditional and strategic enterprise services offerings which include analytics and data management, security, and cloud services.
CSC is a US-incorporated listed company on the New York Stock Exchange. CSC provides nextgeneration information technology services and solutions.
