Subject: Case No. COMP/M.3221 ñ Investcorp Financial Services/Minimax Notification of 12.06.2003 pursuant to Article 4 of Council Regulation (EEC) No.

1.On 12.06.2003, the Commission received notification of a proposed concentration pursuant to Article 4 of Council Regulation (EEC) No. 4064/89 by which the undertaking Investcorp Financial Services, Switzerland (ìInvestcorpî), belonging to the Investcorp group, acquires within the meaning of Article 3(1)(b) of the Council Regulation control of the whole of the undertaking Minimax Holding GmbH, Germany (ìMinimaxî), by way of purchase of shares.

The business activities of the undertakings concerned are:

-• Investcorp, the acquirer, is an international financial institution acting as a principal and as an intermediary in international investment transactions. Investcorp specialises in facilitation of flow of capital of its clients to investments in Western Europe and United States pursuing four major activities: corporate investment (North America and Western Europe), technology investment (North America and Western Europe), real estate investment (North America) and global asset management.

-• Minimax, the target, is active in the area of fire protection systems, safety engineering and related services. Minimax manufactures fire extinguishers, fire detection systems and extinguishing agents. It also offers related services, i.e. advice and planning of fire protection, employee training and fault signal management.

2.After examination of the notification, the Commission has concluded that the notified operation falls within the scope of Council Regulation (EEC) No. 4064/89 and of paragraph 4, subparagraph b, of the Commission Notice on a simplified procedure for treatment of certain concentrations under Council Regulation (EEC) No 4064/89.

For the reasons set out in the Notice on a simplified procedure, the Commission has decided not to oppose the notified operation and to declare it compatible with the common market and with the EEA Agreement. This decision is adopted in application of Article 6(1)(b) of Council Regulation (EEC) No. 4064/89.
