SECTION 1.2

Description of the concentration

The proposed concentration concerns the creation of an Indonesian full function joint venture, PT Sumisho E-commerce Indonesia (the "JVC"), between Sumitomo Corporation and MonotaRO Co., Ltd.

Sumitomo Corporation is a listed Japanese integrated trading and investing company, which is active in various sectors, such as the trading of metal products, transportation, media, mineral resources, energy, chemicals and electronics.

A majority-controlled subsidiary of W.W. Grainger, Inc., MonotaRO Co., Ltd is a Japanese marketer of maintenance, repair and operations supplies to small businesses and mid-size manufacturing companies through its online channel and product catalogues.

The JVC is currently owned by Sumitomo Corporation and its wholly-owned Indonesian subsidiary, PT Sumitomo Indonesia. It supplies various products online to Indonesian businesses, including food, clothing, electronics equipment, health care products and office supplies. It will not have any activities within, or affecting, the European Economic Area.
