SECTION 1.2
Description of the concentration
On 8 March 2011, the European Commission received a notification of a proposed concentration pursuant to Article 4 of the EC Merger Regulation, by which Ageas Insurance International N.V. ("Ageas Insurance International") and H.Ö. Sabancı Holding A.S. ("Sabancı") will acquire joint control over Aksigorta A.S. ("Aksigorta").
The main business activities of the undertakings concerned are:
1. For Ageas Insurance International: the insurance sector (life and non-life) in Europe and in Asia (excluding Turkey);
2. For Sabancı: industrial and financial conglomerate;
3. For Aksigorta: non-life insurance activities exclusively in Turkey.
The Parties’ activities do not overlap in any markets, since Aksigorta is not active in the EEA.
