SECTION 4

Description of the concentration

This notification concerns the following undertakings:

Mutares SE & Co. KGaA, a German company, having its registered office at Arnulfstraße 19, 80335 Munich, Germany (together with its subsidiaries referred to as “Mutares”);

Magirus GmbH, a German company, having its registered office at Graf-Arco-Straße 30, 89079 Ulm, Germany, including its three subsidiaries Magirus Camiva S.a.s., France, Magirus Lohr GmbH, Austria, and Magirus Italia S.r.l, Italy (Magirus GmbH together with its subsidiaries referred to as “Magirus” or the“Target”) currently controlled by Iveco Group N.V. (together referred to as the “Seller”).

Mutares acquires, within the meaning of Article 3(1), point (b) of the Merger Regulation, sole control over Magirus. The concentration is accomplished by way of purchase of shares.

The business activities of the undertakings concerned are:

a) Mutares: Mutares is an international investment holding, focused on special situations, focused on the acquisition of parts of large corporations (carve-outs) and medium-sized companies in transitional situations. The aim is to leverage the development potential of the usually distressed target companies within the framework of an active turnaround process and to lead them onto a stable and profitable growth path. Mutares focusses on the economic sectors Automotive and Mobility, Technology and Engineering, Goods and Services and Retail and Food.

b) Magirus: Magirus provides solutions in the firefighting sector. Its main activities include:

• Production of a wide range of firefighting vehicles, rescue vehicles and logistics, fire trucks, tankers;

• Completion and customization of (turntable) ladders and special vehicles;

• Fire engines (Light Pumpers, Medium Pumpers, Heavy Pumpers, Industrial Fire Engines);

• Sale of equipment, including power generators, water pumps, road accident rescue equipment, earthquake rescue equipment and firefighting equipment;

• Technical support and maintenance for all the vehicles and equipment it produces;

• Training and education for fire brigades.
