SECTION 1.2

Description of the concentration

This notification relates to the proposed concentration whereby 3i Group Plc and certain funds managed by 3i Investments Plc (3i) will acquire sole control, within the meaning of Article 3(1)(b) of the EC Merger Regulation, over Action Holding B.V. and its subsidiaries (Action) by means of the purchase of shares.

3i is a private equity and alternative asset management company, whose principal activities are making investments, providing management advice to and managing investments on behalf of investment funds. 3i is headquartered in London and is listed on the London Stock Exchange. 3i holds investments in various sectors. Most of 3i's investments are in businesses based in Europe, although 3i has growing investment operations in the Americas and Asia.

Action is active in the retail market for non-food and (to a limited extent) food products through retail stores in the Netherlands, Belgium and Germany.

The proposed concentration does not create any reportable markets.
