This Notification concerns the proposed acquisition by Sheares Healthcare Group Pte. Ltd. (“Sheares Healthcare”) of joint control over Asia Healthcare Holdings Pte. Ltd. (“AHH”), which is currently solely controlled by TPG Growth III SF Pte. Ltd (“TPG Growth”) (together with Sheares Healthcare, the “Parties”) (the “Proposed Transaction”). Sheares Healthcare, AHH, and TPG Growth are headquartered in Singapore.
Through the Proposed Transaction, Sheares Healthcare will acquire newly issued shares of AHH (representing a minority shareholding), as well as veto rights that confer joint control over AHH.
Sheares Healthcare is a provider of healthcare delivery services in Asia. It works closely with its portfolio companies to shape healthcare delivery through innovative, appropriate, and patient-focused care. Sheares Healthcare is a wholly-owned portfolio company of Temasek. Sheares Healthcare will invest in AHH through its wholly-owned subsidiary Valerius Healthcare Investments Pte. Ltd. (“Valerius”).
TPG Growth is part of TPG, a private investment firm that manages a family of funds that invest in a variety of companies through acquisitions and corporate restructurings. TPG Growth is based in San Francisco, USA. TPG Growth currently enjoys sole control over AHH, through an interest held by the TPG Growth III fund.
AHH is a TPG Growth platform that holds investments in the healthcare industry, primarily in India. AHH currently owns controlling interests in two operating businesses: (1) Bengaluru-based Rhea Healthcare Pte. Ltd. (“Rhea”), which operates a network of mother and child care centers in India under the “Motherhood” brand, and (2) Cancer Treatment Services International (“CTSI”), which operates a network of cancer-focused single-specialty facilities in India, a pathology and diagnostic solutions provided, and a tertiary care hospital in Hyderabad, India. AHH has no assets or activities in the EEA.
