On 17 September 2018, the Commission received notification of a proposed concentration pursuant to Council Regulation (EC) No 139/2004, by which HP Inc. (HP) will acquire sole control, within the meaning of Article 3(1)(b) of the Council Regulation (EC) No 139/2004 and paragraph 54 of the Commission Consolidated Jurisdictional Notice, of Apogee Group Limited (Apogee) through the acquisition of Manzana Holdings Limited (the Proposed Transaction).
The main business activities of the undertakings concerned are:
(a) for HP, the manufacture and sale of electronic devices, including personal computers and printers. HP markets printers geared towards a range of needs to consumers and businesses; and
(b) for Apogee, the provision of managed print services to business users, primarily in the UK. Such print services generally comprise a flexible combination of printer hardware, consumables, software, maintenance, workflow management, consulting, training and other related services.
The Proposed Transaction is highly complementary and will combine HP’s existing expertise in the supply of printers and related hardware with Apogee’s managed print services offering direct to end-users. The Proposed Transaction will also help HP develop its MPS offering to commercial/national and mid-sized companies, as HP currently primarily provides such services directly to large global enterprise customers and relies on resellers to reach these other smaller business units.
