SECTION 1.2

Description of the concentration

The proposed concentration consists in the acquisition of joint control of Artsana S.p.A by Baby Care International Development S.à.r.l., owned by the investment funds Investindustrial V L.P. and Investindustrial VI L.P., and Catelli S.r.l.

The investment funds Investindustrial V L.P. and Investindustrial VI L.P. invest in European mid-market companies, primarily located in Southern Europe.

Catelli S.r.l. is an Italian holding company, which currently exercises sole control over Artsana S.p.A.

Artsana supplies a wide range of baby care products, as well as health and beauty products under the brands Chicco, Boppy, PIC Solution, Dr. Marcus, Lycia, and Control.

Artsana is also active in the retail of baby care products and toys via its joint venture MFE², which operates four retail businesses: Prenatal, Toys Center, Bimbo Store and King Jouet.
