SECTION 1.2

Description of the concentration

The proposed transaction concerns the change in the control structure of Nordkalk Corporation,

which is a Finnish company operating in the markets of limestone-based products. In the

proposed transaction Rettig Group Ltd, as the notifying party, will acquire sole control and all

shares (directly and indirectly) in Nordkalk. In the concentration, the joint control structure in

Nordkalk, examined and cleared by the Commission in 2006 (M.4459), will change into a

structure wherein Rettig has sole control in Nordkalk. Rettig operates in the areas of indoor

heating/climate regulation and shipping and Nordkalk in the field of limestone-based products.

There are no affected markets in the proposed concentration. Rettig has been in joint control and

has held a minority stake in Nordkalk since 2006, and in line with Rettig’s ownership and

investment strategy, it now contemplates to take sole control and acquire all shares (directly and

indirectly) in Nordkalk.
