SECTION 4

Description of the concentration

This notification concerns the creation of a joint venture dedicated to the provision of food and beverage services at Antalya airport in Turkey jointly by BTA Havalimanları Yiyecek ve İçecek Hizmetleri A.Ş., a subsidiary of the Turkish airport operator TAV Havalimanlari Holding A.Ş. (ultimately controlled by Aéroports de Paris S.A.), and Fraport Turkey Havalimanı Yatırımları A.Ş., a subsidiary of the Germany-based airport operator Fraport AG. BTA will hold 60% of the shares in the joint venture while Fraport Turkey will hold 40% of the shares in the joint venture, which will be jointly controlled by both shareholders. The transaction constitutes a notifiable concentration pursuant to Art. 1(2), 3(4) and 4(1) of the EU Merger Regulation.
