SECTION 1.2

Description of the concentration

(1) On 19 September 2022, the Commission received a notification of a proposed

concentration pursuant to Article 4 of Council Regulation (EC) No 139/2004 by which

FEV Consulting GmbH ("FEV") and Mitsubishi Corporation ("MC") intend to acquire,

within the meaning of Article 3(1)(b) and 3(4) of Council Regulation (EC) No

139/2004, joint control over a yet to be established full-function joint venture (the "JV")

by way of an acquisition of shares in the newly-created JV.

(2) The business activities of the undertakings concerned are as follows:

a. For FEV: management consultancy services which are combined with

technical capabilities and knowhow. FEV's gobal headquarter is in Aachen,

Germany. FEV is a subsidiary of FEV Group GmbH ("FEV Group"),

headquartered in Aachen, Germany. FEV Group is an international,

independent service provider for hardware and software in vehicle and

powertrain development, as well as the energy industry. FEV Group's range of

competencies includes the development and testing of innovative solutions up

to series production and all related consulting services. FEV Group is active

globally with more than 40 locations on five continents.

b. For MC: global integrated trading company which develops and operates

business across a variety of industries. MC is divided into ten business groups:

Natural Gas; Industrial Materials; Petroleum & Chemicals Solution; Mineral

Resources; Industrial Infrastructure; Automotive & Mobility; Food Industry;

Consumer Industry; Power Solution; and Urban Development Group. MC is

active worldwide and is headquartered in Tokyo, Japan.

c. For the JV: support of the realization of sustainable growth of material

manufacturers in Japan by providing consulting and other services. The JV

shall have its business seat in Japan and its foreseen activities shall be focused

on Japan.
