SECTION 4

Description of the concentration

On 17 July 2024, the European Commission received the notification of a proposed transaction pursuant to Article 4 of the Council Regulation (EC) No. 139/2004. The Proposed transaction involves the acquisition of sole control of Globus Holding AG (the “Target”) by Harng Central Department Store Limited (together with the companies it controls, “Central Group”).

Central Group, a company headquartered in Thailand, is active in merchandising, real estate, retailing, hospitality and restaurants. In the EEA, Central Group owns and operates department stores in the Netherlands (De Bijenkorf B.V.), Ireland (Brown Thomas Arnotts Limited), Italy (la Rinascente Spa), Germany (KaDeWe) and Denmark (Illum A/S) and conducts property development activities in Germany and Austria. Central Group also owns properties in Denmark, Ireland and Italy.

The Target, a joint venture between Central Group and SIGNA Group, is the holding company for Magazine zum Globus AG. Magazin zum Globus AG is active in the retail of non-food products, including beauty products, womenswear, menswear, childrenswear, footwear, accessories and homewares, and to a lesser extent the retail of food.
