SECTION 1.2

Description of the concentration

Funds managed by Oak Hill Capital Management, LLC (“Oak Hill Capital”) intend to acquire, - indirectly - 50% of the shares in and joint control over Mercer Advisors Inc. (“Mercer”). Mercer is currently owned and controlled by funds managed by Genstar Capital Management, LLC (“Genstar Management”). Funds managed by Genstar Capital Partners, LLC (“Genstar”), an affiliate of Genstar Management, will retain 50% of the shares and joint control in Mercer.

-- Genstar is a private equity firm based in San Francisco, California, specializing in investments in middle market companies in financial services, healthcare, industrial technology and software industries;

-- Oak Hill Capital is a private equity firm headquartered in New York City, with approximately US$ 15 billion of initial capital commitments and co-investments since inception. The firm applies an industry-focused, theme-based approach to investing and works actively in partnership with management to implement strategic and operational initiatives to create franchise value;

-- Mercer is an independent wealth management firm. The company primarily services the mass-affluent and high-net-worth clients. Mercer attracts and retains clients by offering comprehensive wealth management solutions, including: financial planning, investment management, tax management, retirement income and benefits planning, and estate planning.
