SECTION 1.2

Description of the concentration

Advent International Corporation (AIC), a globally active private equity investor, through certain funds (which are managed or advised by AIC, both AIC and Advent Funds referred to as Advent), intends to acquire within the meaning of Article 3(1)(b) of the EC Merger Regulation control over 15 companies (Median) which are inter alia operating 26 rehabilitation clinics and one acute clinic by way of purchase of shares. These 27 clinics represent the majority of the clinics currently operated under the “MEDIAN Kliniken” trade name. The other clinics will remain with the current owners.

The business activities of the undertakings concerned are:

• Median: operator of inter alia rehabilitation clinics and one acute clinic
