Description of the concentration
IAE International Aero Engines AG (“IAE”) is a multinational joint venture between Pratt & Whitney (“P&W”), a division of United Technologies Corporation headquartered in East Hartford, Connecticut, United States, Rolls-Royce plc (“RR”), a company headquartered in London, United Kingdom, Japanese Aero Engines Corporation (“JAEC”), a corporation headquartered in Tokyo, Japan, and MTU Aero Engines GmbH (“MTU”), a corporation headquartered in Munich, Germany. IAE produces and sells the V2500, a large commercial narrow-body jet engine. P&W intends to acquire all of RR’s shares in IAE. Upon completion of the Transaction, P&W, JAEC, and MTU will remain as shareholders in JV, which will be solely controlled by P&W.
