SECTION 1.2

Description of the concentration

On 28 August 2015, the Commission received notification of a proposed concentration pursuant to which both SACYR INDUSTRIAL, S.L.U ("SACYR INDUSTRIAL", Spain) and FLUOR CORPORATION ("FLUOR CORPORATION", United States of America) will indirectly acquire joint control over FLUOR, S.A. ("FLUOR SPAIN", Spain), which is currently under the sole (indirect) control of FLUOR CORPORATION.

The business activities of the undertakings concerned are:

(a) SACYR INDUSTRIAL is an (indirect) wholly-owned subsidiary of SACYR, S.A., an international Spanish business group listed on the Madrid, Barcelona, Bilbao and Valencia stock exchanges. The main activities of the SACYR group take place in the following segments: (i) construction, (ii) public infrastructure concessions, (iii) real estate and (iv) industrial services.

(b) FLUOR CORPORATION is an international American business group listed on NYSE. Its activities are divided into the following business groups serving various industries: (i) oil and gas, (ii) industrial and infrastructure, (iii) government, (iv) global services and (v) power.

(c) FLUOR SPAIN is a Spanish company which currently provides from Spain engineering, procurement and construction management services mainly to third- parties active in the oil and gas sectors.
