SECTION 1.2

Description of the concentration

On 9 December 2013, the Commission received a notification of a proposed concentration whereby SEAS-NVE Am.b.a. (“SEAS-NVE”) intends to acquire 80 per cent of the shares in E.ON Vind Sverige AB (“Vind”) from E.ON Sverige AB (“E.ON”).

As a result of the concentration, Vind will be jointly controlled by SEAS-NVE and E.ON.

Vind owns the Danish offshore wind farm Rødsand 2 located south of the Danish island of Lolland in the Baltic Sea. Vind is active in the sale of electricity on the wholesale market.

E.ON is an investor-owned power and gas company with facilities across Europe, Russia, North America and Brazil.

SEAS-NVE is a privately owned energy company active in the energy and communications sector in Denmark.

The parties’ activities overlap in (i) the market for generation and wholesale supply of physical electricity and (ii) the market for retail supply of electricity to load-measured customers. Moreover, E.ON is active in the market for development, construction and operation of wind farms which is upstream from the market for generation and wholesale supply of physical electricity.
