SECTION 1.2

Description of the concentration

The notification relates to the concentration whereby Renault Venture Capital S.A.S. ("Renault"), a subsidiary of Renault S.A.S. (part of the Renault Group ("Renault Group")), will acquire a 25% stake in Jedlix B.V. ("Jedlix") (the "Transaction"). Jedlix is currently controlled by Eneco Smart Energy B.V. ("Eneco"), a subsidiary of Eneco Goep N.V. ("Eneco Groep") which owns 100% of the shares in Jedlix.

− Jedlix provides electric vehicle ("EV") smart charging services. It operates a cloud-based IT infrastructure and associated apps that manage the balance between consumption and supply of renewable energy and avoid grid congestion. Jedlix shares a portion of the associated revenues with end users (EV drivers);

− Eneco Smart Energy is a business unit of Eneco Groep and focuses on the development of energy-related innovations. Eneco Smart Energy supports and co-creates amongst others energy saving initiatives by investing in and partnering with innovative players. Eneco Groep is active as a producer and supplier of (renewable) energy in the Netherlands;

− Renault Venture Capital is an investment branch of Renault S.A.S. The activities of Renault Group, which is part of the Renault-Nissan Alliance, primarily include the production, distribution, sale and maintenance of automotive products.
