SECTION 1.2
Description of the concentration
The present notification concerns a proposed concentration whereby BG Utalia SpA, a wholly-controlled subsidiary of BG Group plc, acquires sole control, within the meaning of Article 3(1)(b) of Council Regulation (EC) 139/2004, of the undertaking it currently jointly controls together with Edison SpA, namely Serene SpA ("Serene"). Serene is an Italian company active in the electricity sector. The transaction will not affect competition in the market given that the electricity produced by the target company is subject to a special regime under Italian law (CIP6). In any event, the capacity help by the target company is well below 1% of the total working capacity available on the Italian market.
