SECTION 4

Description of the concentration

This notification concerns the following undertakings:

DACHSER SE (“DACHSER”), Germany, is a logistics company ultimately controlled by Dachser Group SE & Co. KG, which is a family-owned company.

Fercam S.p.A. (“Fercam”), Italy, is a family-owned logistics company that provides national and also international logistic services, in particular in the area of Full-Truckload (“FTL”) transportation, road groupage and warehousing.

Dachser & Fercam Italia S.r.l. (“Target”), Italy, to be established by Fercam as a wholly-owned subsidiary up to six months until consummation of the notified transaction, which will then be ultimately solely controlled by DACHSER. Fercam will transfer its road groupage business as well as its warehouse business in Italy into Target prior to the consummation of the proposed concentration.

Fercam Factor S.p.A. (“Fercam Factor Target”) is a factorign company, addressing partners and suppliers of Fercam S.p.A., offering a factoring service which consists in the antiticpation of their invoices issued to Fercam S.p.A. It has a purely captive and ancillary role, i.e. it has no stand-alone market activity.

DACHSER acquires, within the meaning of Article 3(1), point (b) of the Merger Regulation sole control over the Target and Fercam Factor Target.

The concentration is accomplished by way of purchase of shares.
