SECTION 1.2

Description of the concentration

1.1. The Commission has received notification of a proposed concentration pursuant to Article 4 of the EU Merger Regulation by which Albemarle Corporation (“Albemarle”) will acquire sole control of Rockwood Holdings, Inc. (“Rockwood”) within the meaning of Article 3(1)(b) of the EU Merger Regulation.

2.2. Albemarle is a global developer, manufacturer and marketer of highly-engineered specialty chemicals that meet customer needs across a diverse range of end markets including the petroleum refining, consumer electronics, plastics/packaging, construction, automotive, lubricants, pharmaceuticals, crop protection, food safety and custom chemistry services markets.

3.3. Rockwood is a global developer, manufacturer and marketer of technologically advanced and high value-added specialty chemicals.
