SECTION 1.2

Description of the concentration

The proposed Transaction consists of the acquisition by FCA Italy S.p.A. (“FCA”) of 50,1% of the shares in EPS e-mobility s.r.l. (“NewCo”), a company currently 100% owned by ENGIE EPS Italia S.r.l. (“EEPS”) to which the same EEPS has contributed its pre-existing e-mobility business which develops innovative charging solutions for the owners of electric vehicles. Post transaction, FCA and EEPS will exercise joint control over NewCo.

FCA is part of the global automotive group Fiat Chrysler Automobiles N.V. which, through the merger by incorporation with Peugeot S.A. (“PSA”), has remained the only surviving entity renamed as Stellantis N.V (“FCA NV/Stellantis”). FCA/NV Stellantis designs, engineers, manufactures, distributes and sells vehicles for the mass-market as well as luxury cars under several brands.

EEPS is part of the ENGIE group, a global energy player in the sectors of electricity, natural gas and energy services. EEPS provides energy storage systems for renewable power producers, microgrid solutions and e-mobility services by developing innovative solutions and technologies for electric and hybrid vehicles.
