SECTION 4

Description of the concentration

On 30 August 2024, the European Commission received a notification of a proposed concentration pursuant to Article 4 of Council Regulation (EC) No 139/2004 involving the acquisition by Macquarie (through MIP VI) and ENGIE of joint control over TAG South.

The undertakings concerned are:

-ENGIE, a global group headquartered in France and active in low-carbon energy, gas and services;

-MIP VI, a fund headquartered in Canada and involved in investment in energy and infrastructure assets located in North America and South America and ultimately controlled by MGL; and

TAG South which holds a natural gas transportation service permit in Mexico that grants the right to own, develop, construct and operate a natural gas transportation system in central Mexico. It is therefore active in the transportation of natural gas through the southern part of the Los Ramones II pipeline. TAG South has no activities outside of Mexico.
