SECTION 1.2
Description of the concentration
On 20 November 2008 the Commission received notification of a proposed concentration
pursuant to Article 4 of Council Regulation (EC) 139/2004 by which NDS Group plc, which is
currently solely controlled by News Corporation, will come under the joint control of (i) News
Corporation and (ii) Nuclobel Lux 1 S.‡.r.l and Nuclobel Lux 2 S.‡.r.l, which are controlled by
Permira IV Fund.
The business activities of the undertakings concerned are:
(a) For Permira IV Fund: private equity fund;
(b) For News Corporation: production and distribution of motion pictures and TV
programming, TV satellite and cable broadcasting, the publication of newspapers,
magazines and books, the production and distribution of promotional and advertising
products and services, the development of digital broadcasting, the development of
conditional access and subscriber management systems and the creation and distribution of
on-line programming; and
(c) For NDS Group plc: supply of open end-to-end systems and solutions for pay TV and other
digital platforms.
