SECTION 1.2

Description of the concentration

De Dietrich Remeha Holding B.V. ("Remeha") intends to acquire sole control over Baxi Holdings Limited ("Baxi").

Remeha is the holding company of a group of companies (the "Remeha Group"). The Remeha Group's activities relate to the development, manufacture and sale of heating products, such as boilers, water heaters, radiators, heat pumps and solar systems.

Baxi is the holding company of a group of companies (the "Baxi Group"). The Baxi Group is also active in the field of the development and manufacture of central heating products such as boilers, radiators and solar systems.

The intended transaction (the "Transaction") involves the acquisition of control by one undertaking over another undertaking and therefore constitutes a concentration within the meaning of Article 3(1)(b) ECMR.

Based on figures relating to 2008, the Transaction does not have a Community dimension within the meaning of Article 1 ECMR, but is deemed to have that dimension pursuant to Article 4(5) ECMR.

The strategic and economic rationale for the Transaction is to take advantage of complementary positions in geographic terms and in terms of brand positioning, as well as to create economies of scale.
