SECTION 1.2

Description of the concentration

The Carlyle Group, Inc. (“Carlyle”) intends to acquire joint control over Duravant LLC (“Duravant”), together with Warburg Pincus LLC (“Warburg Pincus”). Warburg Pincus currently has sole control over Duravant.

Carlyle is a global alternative asset manager, which manages funds that invest globally across three investment disciplines: (i) Global Private Equity (including corporate private equity, real estate and natural resources funds); (ii) Global Credit (including liquid credit, illiquid credit and real assets credit); and (iii) Investment Solutions (private equity fund of funds program, which include primary fund, secondary and related co-investment activities).

Warburg Pincus is a global private equity firm headquartered in New York, United States. Its portfolio companies are active in a variety of sectors, including consumer, industrial and business services (CIS), energy, financial services, healthcare, real estate and technology.

Duravant manufactures and supplies processing and logistics equipment for companies active particularly in the food & beverage and e-commerce & distribution sectors and related aftermarket offerings (including parts, installation, and maintenance).
