SECTION 1.2

Description of the concentration

The proposed concentration relates to the creation of a joint venture (ìJVî) between ArcelorMittal S.A. (ìArcelorMittalî) and Borusan Holding A.Ş. (ìBorusanî). BorÁelik «elik Sanayi ve Ticaret A.Ş. (ìBorÁelikî), an existing joint venture between ArcelorMittal and Borusan, will enter into the capital of the JV, but will not have control rights.

The JV will operate and manage a new hot strip mill in Gemlik, Turkey. The mill is planned to come online in the first half 2010, and will eventually have a capacity of 4.8 million tonnes. Once the JV will be operational, it is expected that the largest part of its output of hot-rolled steel products will be sold in Turkey.

The proposed concentration has a Community dimension within the meaning of Article 1(3) of the EC Merger Regulation.

ArcelorMittal and Borusan are partners in the BorÁelik joint venture since 1989. BorÁelik operates a cold rolling and galvanising facility in Gemlik, Turkey.
