SECTION 1.2

Description of the concentration

1.On 4 May 2015, the Commission received notification of a proposed concentration

pursuant to Article 4 of Council Regulation (EC) No. 139/2004, by which Plastipak

Holdings, Inc. will acquire, within the meaning of Article 3(1) and Annex I of

Commission Regulation 802/2004, APPE Iberia S.A.U, APPE France S.A.S, APPE

UK Limited, APPE Deutschland GmbH, APPE Benelux, N.V, together with the

related companies APPE Polska, Sp.z.o.o and APPE Nordic AB, a controlling interest

in APPE-CCE Recyclage, S.A.S and, subject to the confirmation of certain third party

waivers, APPE Maroc and APPE Turkpack Plastik Ambalaj Malzemeleri San. A.S.

The business activities of the parties to the concentration are:

2.1Plastipak: manufacturer of plastic resins, preforms and plastic packaging containers

(including PET and HDPE) and is also engaged in recycling operations for the

production of post-consumer recycled plastic raw materials.

2.2APPE: manufacturer of plastic preforms and packaging containers and is also engaged

in recycling operations for the production of post-consumer recycled raw materials.
