SECTION 1.2

Description of the concentration

1.1. The parties to the proposed concentration are Altor Fund III and E.ON ES. In the proposed concentration Altor acquires 90,5 % of the outstanding shares and thereby a sole control of E.ON ES, including its subsidiaries E.ON ES Trafik & Belysning AB, E.ON ES Norge A/S and ES Kraftmontasje A/S. The seller is E.ON Sverige AB.

2.2. E.ON ES provides contracting, operation and maintenance services for energy networks mainly in the electricity sector. E.ON ES is headquartered in Malmo, Sweden, and has approximately 1,500 employees at approx. 60 offices all over Sweden.

3.3. Altor Fund III is part of Altor funds, a private equity firm focused on investing in and developing medium sized companies in the Nordic region. Altor funds' portfolio companies are functioning in a variety of fields, including e.g. oil services, ship services and telecom services.
