SECTION 1.2

Description of the concentration

The European Commission received a notification of a proposed concentration pursuant to Article 4 of Council Regulation (EC) 139/2004 by which PTT Global Chemical Public Company Limited intends to indirectly acquire 100% of the shares in Allnex Holding GmbH, thereby also acquiring control over the group of companies controlled by Allnex Holding GmbH.

The primary business activities of the undertakings concerned are:

-- for PTT Global Chemical Public Company Limited and its group of companies: development, manufacture and supply of petrochemical and chemical products for a wide range of customers. The product portfolio of the worldwide group of companies headed by PTT Global Chemical Public Company Limited includes petroleum, petrochemical and by-products that are converted into various chemicals and basic feed-stocks for downstream industries,

-- for Allnex Holding GmbH and its group companies: development, production and supply of synthetic industrial coating resins.
