SECTION 1.2
Description of the concentration
This notification relates to the proposed acquisition of control within the meaning of
Art.3(1)(b) of Council Regulation (EC) No. 139/2004 of Süd-Chemie AG, Munich, Germany
by SCB, a special purpose vehicle of OEP, which is ultimately controlled by JPMorgan Chase
& Co. New York, New York, USA.
The acquisition of control shall be brought about by an increase of SCB’s existing minority
share in Süd-Chemie AG to a majority share.
The business activities of the undertakings concerned are
OEP: OEP is a private equity company that is ultimately controlled by JPMorgan Chase.
JPMorgan Chase is a global financial services firm, the activities of which include the
following six business segments: Investment Banking, Treasury & Security Services, Asset &
Wealth Management, Retail Financial Service, Card Services and Commercial Banking.
Süd-Chemie: Süd-Chemie is a chemical company, the activities of which include in
particular absorbents and catalysts.
