SECTION 4

Description of the concentration

This notification concerns the following undertakings:

-- Global Digital Integrated Solutions Company (Aramco Digital), a limited liability company duly organised and existing under the laws of the Kingdom of Saudi Arabia, a wholly-owned affiliate of Saudi Arabian Oil Company (Saudi Aramco);

-- LTIMindtree Limited (LTIMindtree), a public limited company organized and existing under the laws of India, a subsidiary of Larsen & Toubro Limited;

-- The newly established joint venture (Proposed JV) will be a limited liability company to be incorporated under the laws of the Kingdom of Saudi Arabia.

Aramco Digital and LTIMindtree acquire, within the meaning of Article 3(1)(b) and 3(4) of the Merger Regulation, joint control of the Proposed JV.

The concentration is accomplished by way of purchase of shares in a newly created undertaking constituting a joint venture.

The business activities of the undertakings concerned are:

-- Aramco Digital is a digital service business and is active in building smart cloud infrastructure and offering cloud-based services, to cybersecurity and AI applications, and full-scale smart plant solutions. Aramco Digital is engaged in the digital transformation of various industrial sectors in Saudi Arabia, such as energy, petrochemical and manufacturing industries.

-- LTIMindtree is engaged in the business of providing various information technology, consultancy and outsourcing services worldwide.

-- The Proposed JV will market and provide Information Technology services primarily in Saudi Arabia, and, at a later stage, the Middle East and North Africa Region, relating to managed information technology services, application development, system integration, and information technology consulting.
