SECTION 1.2
Description of the concentration
1Marquard and Bahls AG and Linde AG intend to create a full-function joint venture within the meaning of Art. 3 para. 4 EUMR, over which both Parties will exercise joint control, Art. 3 para. 1 (b) EUMR. The principal activity of the joint venture is intended to be the bulk supply of liquid natural gas ("LNG") as ship fuel ("LNG bunkering").
2Under the joint venture agreement concluded between the Parties, they will establish a joint venture company in the form of a GmbH & Co. KG that will be incorporated and registered in Hamburg/Germany under the name of Bomin Linde GmbH & Co. KG.
3Linde is a gases and engineering company with approximately 50,000 employees working in more than 100 countries worldwide. It is active in the industrial gases, medical gases, equipment, engineering and services sectors.
4Marquard & Bahls' main activities are in the areas of oil trading, tank-terminal storage, aviation, fuelling services, and renewable energies.
