SECTION 1.2

Description of the concentration

The Commission has received notification of a proposed concentration pursuant to Article 4 of Council Regulation (EC) No 139/2004 (the “EUMR”). On 9 February 2018, Melrose Industries PLC (“Melrose”) notified its intention to acquire indirect sole control of GKN plc (“GKN”) within the meaning of Article 3(1)(b) of the EU Merger Regulation by way of an acquisition of shares.

The areas of activities of the undertakings concerned by the notified concentration are as follows:

(i) Melrose acquires high quality manufacturing businesses with exposure to strong end-markets and provision of management services with the view of profiting from their eventual sale;

(ii) GKN is a global engineering group and its activities are focused on the automotive, aerospace and industrial service sectors.
