SECTION 1.2

Description of the concentration

1.1. The Commission has received notification of a proposed concentration pursuant to Article 4 of Council Regulation (EC) 139/2004 by which CVC Capital Partners SICAV-FIS S.A. (together with its subsidiaries and affiliates, the "CVC Group") would obtain sole control, within the meaning of Article 3(1 )(b) of the Council Regulation, of Parexgroup Participations S.A.S. and certain affiliated entities (collectively, the "Target") comprising the specialty dry mix solutions business solutions business of the Materis group.

2. The primary business activities of the undertakings concerned are:

(a) for the CVC Group: advice to and management of investment funds;

(b) for Target: the production of industrial specialty dry-mix solutions.
