SECTION 1.2

Description of the concentration

The notified concentration consists of the proposed acquisition of sole control by funds managed or advised by Bain Capital Investors L.L.C. (“Bain Capital”) of Industria de Turbo Propulsores, S.A.U. as enlarged by the Hucknall and Fabrications businesses (“ITP Aero” or the “Target”), within the meaning of Article 3(1)(b) of the EU Merger Regulation.

Bain Capital is a private equity investment firm that invests in companies across a number of industries, including information technology, healthcare, retail and consumer products, communications, financial services and industrial/manufacturing.

ITP Aero, headquartered in Spain, specialises in the manufacture of aircraft engine components and includes among its activities design, research and development, manufacturing and casting, assembly and testing of aircraft engine components. It also provides maintenance, repair and overhaul services for a range of engines for regional airlines, business aviation, helicopters, industrial and defence applications.
